Abstract:
To address the growing concern that minority shareholding in rival firms facilitate collusion, we use the introduction of national leniency programmes as a shock that destabilises collusive agreements and study their effect on minority shareholding acquisitions. Using data from 63 countries, we find a large and significant increase in horizontal minority shareholding acquisitions in the year in which a leniency programme is introduced, but only in countries with effective antitrust enforcement and low levels of corruption. We do not find a similar effect for cross-border or non-horizontal minority shareholding acquisitions. Our findings suggest that firms use minority shareholding acquisitions to stabilise collusive agreements.
